All content on this website, and all outputs produced by the linked tools — including valuations, equity-bridge calculations and funding proposals — are provided for informational and analytical purposes to support, not replace, professional judgement.

ValuSuite and its linked tools do not provide professional advice. In particular, nothing on this site or in the tools' outputs constitutes:

• financial advice;
• investment advice;
• legal advice;
• tax advice;
• accounting advice;
• lending advice.

Using the site or the tools does not create a professional-client, adviser-client, fiduciary or lender-borrower relationship between you and THINKERZ LTD.

The outputs of the tools are indicative and do not determine the terms of any actual transaction:

• ValuBase produces an indicative Enterprise Value and is not a formal valuation;
• ValuBridge produces indicative transaction calculations and does not determine the mechanics of any Sale and Purchase Agreement or other transaction documentation;

Where a transaction is progressed, the definitive transaction documentation and the terms actually agreed between the parties prevail over any indicative output produced by the tools.

THINKERZ LTD is not responsible for the content, availability or practices of unrelated third-party websites. The individual ValuBase, ValuBridge and ValuFund tools are not unrelated third parties, but they operate on their own domains under their own terms.

The branding, design, original content, methodologies, software and materials on this site are protected as applicable. You may use the public tools for their intended professional purposes. You may not, without authorisation, reproduce, scrape, reverse engineer, resell or misrepresent ValuSuite or THINKERZ materials, or use them in a manner that misrepresents their indicative and informational nature.

Nothing in these terms restricts any rights that are separately granted on the individual tool domains, which continue to apply to the use of those tools.

You agree not to misuse the website or the tools. In particular, you must not:
